Membership Agreement
This Agreement is entered into by and between New Jersey Corporation for Advanced Technology (“NJCAT”) and _____________________ (“Member”).
WHEREAS, NJCAT is a non-profit corporation whose business is to promote in New Jersey the retention and growth of technology-based businesses in emerging fields, such as environmental and energy technologies, by facilitating the regulatory permitting and the commercialization of such technologies through evaluation and verification processes; and
WHEREAS, Member is a (corporation/academic institution/public utility) and is in the business of _____________________ (a technology or process).
NOW THEREFORE, it is agreed that:
1. Member agrees to pay membership fees according to Member’s class (see Appendix 1) and to commit in-kind resources according to Member’s class (see Appendix 2). Said fees shall be assessed on an annual, calendar year basis and prorated based on the month in which membership begins, and may change from time to time.
1. Participation on Board. Some NJCAT members may wish, or be required, to hold positions on the Board of Trustees. Members of the Board (other than those positions allocated to the NJ Department of Commerce and Environmental Protection, and the Commission on Science and Technology) are elected by the general membership after nomination. Board members serve without compensation and may be restricted in terms of participation of certain financial arrangements based on conflict of interest concerns. Board member duties and responsibilities are set forth in the by-laws of NJCAT.
2. Commitment of In-Kind Resources. In addition to fees, members of NJCAT are required to provide in-kind contributions of various resources. As with membership fees, in-kind resource requirements are set according to organization size and type.
In-kind Resource means professional personnel who are employed by Members of NJCAT and who, by virtue of their expertise in a particular technology, are qualified to evaluate a technology or process that has been submitted to NJCAT for evaluation or verification.
2. Member agrees that it will immediately advise NJCAT of any conflicts of interest of which said Member becomes aware during the period of membership.
3. Member agrees that any information which is provided to said Member as confidential and proprietary will be treated with the same degree of care, but no less than a reasonable degree of care, as the Member uses to protect Member’s own confidential information.
4. The interpretation and validity of this Agreement and the rights of the parties shall be governed by the laws of the State of New Jersey.
5. The above constitutes the full and complete Agreement in this matter by and between the parties.
IN WITNESS WHEREOF, RECIPIENT has executed this Agreement in duplicate originals by its duly authorized officer or representative.

Manhours contributed by members will be applied to meet annual committee staffing requirements, requests for technical assistance by NJCAT participants, and other tasks identified by the NJCAT Board and Staff. Event sponsorship includes all personnel and support necessary for one NJCAT event (such as a seminar, conference, or technology exposition) per year of membership. Event size and resource requirements will be matched to member organization size and type; smaller members will provide support for smaller events, and vice versa. Additionally, each member will provide facilities for one event annually, or for one technology during the course of the year.
